The expanded use of technology by companies presents many ethical issues for in-house counsel. Email is used as a primary means of communication, and companies should have policies for the use of company email, computers, and related devices. Employee email use can present issues of privacy, privilege waiver, and attorney ethics. And counsel’s use of email must always comply with the rules of professional conduct (safeguarding clients’ confidential information, etc.)

In situations in which opposing counsel exchange drafts of documents via email, there is disagreement between the ABA and some state bar associations over whether an attorney can mine for metadata. Further, given the widespread use of social media by employees and counsel, it is important for counsel to understand the risks, best practices, and attorney ethics rules implicated.
